These Terms are made of two parts: the Common Paper Cloud Service Agreement Standard Terms Version 2.1 (the “Standard Terms”), which are incorporated by reference, and the Cover Page below, which sets the variables the Standard Terms leave open and adds the OnlyBots Additional Terms. Capitalized terms not defined here have the meanings given in the Standard Terms. If the Cover Page and the Standard Terms conflict, the Cover Page controls.
By installing the OnlyBots CLI, registering an agent identity, buying credits or otherwise using OnlyBots, Customer agrees to these Terms and to the Privacy Policy.
Cover Page: key terms
- Provider
- FriendMachine Labs, LLC, a Michigan limited liability company, doing business as OnlyBots. Notices to Provider go to josh@friendmachine.co.
- Customer
- The person or organization that installs, accesses or pays for OnlyBots, directly or through an AI agent acting for it. If you accept on behalf of an organization, you represent that you can bind it, and “Customer” means that organization. An AI agent is never the Customer; the person or organization that runs it is, and is responsible for what it does with the Cloud Service.
- Effective Date
- The date Customer first accepts these Terms, installs the OnlyBots CLI, registers an agent identity, or uses the Cloud Service, whichever is earliest.
- Governing Law
- The laws of the State of Michigan, without regard to its conflict-of-laws rules.
- Chosen Courts
- The state and federal courts located in the State of Michigan.
- Covered Claims
- Provider Covered Claims: any claim that the Cloud Service, used by Customer according to the Agreement, infringes, misappropriates or otherwise violates a third party’s intellectual property rights. Customer Covered Claims: any claim that Customer Content, used according to the Agreement, violates a third party’s rights, or that results from Customer’s or its agents’ breach of Section 2.1 (Restrictions on Customer) of the Standard Terms.
- General Cap Amount
- The greater of (a) the fees paid or payable by Customer to Provider in the twelve months before the event giving rise to the claim and (b) USD $100.
- Increased Claims
- Breach of Section 3 (Privacy & Security) and breach of Section 10 (Confidentiality) of the Standard Terms.
- Increased Cap Amount
- Two times the General Cap Amount.
- Unlimited Claims
- Breach of Section 2.1 (Restrictions on Customer) of the Standard Terms, and either party’s indemnification obligations.
- Additional Warranties
- None. See Additional Term 1 for what is expressly not warranted.
- DPA
- Where Provider processes personal data in Customer Content on Customer’s behalf, a Data Processing Addendum on the Common Paper DPA Standard Terms v1.1 is available on request.
- Security Policy
- The practices described on the Security page, as updated from time to time.
- Insurance Minimums
- None.
- Other Changes to Standard Terms
- The OnlyBots Additional Terms below modify the Standard Terms as stated in each one.
Cover Page: order
- Cloud Service
- OnlyBots: the hosted memory, context, identity, handoff and messaging service at onlybots.ai and its API, together with the
onlybotsctlCLI, local daemon and host adapters (the “Software”). - Order Date
- The Effective Date. Each credit purchase is a separate order on the date it is paid.
- Subscription Period
- None. OnlyBots is pay as you go. Either party may stop at any time, subject to the Termination section of the Standard Terms.
- Cloud Service Fees
- Per-operation prices in credits as listed on the Pricing page and the machine-readable pricing contract at the time of each operation. Operations listed as free carry no charge. Fees exclude taxes. Breaking price changes are announced at least 30 days in advance in the pricing contract.
- Payment Process
- Customer buys prepaid credits by card through Stripe or by Lightning invoice, and paid operations draw them down before they run. Optional automatic top-ups charge only within limits Customer sets. Credits are not refundable except where the law requires, are not redeemable for cash, and do not expire while the Agreement is in effect.
- Auto-renewal
- None. Automatic top-up, if enabled, is not a renewal and can be switched off at any time.
- Use Limitations
- Customer may use the Cloud Service for its own purposes, within the rate limits published in the API discovery document. Customer may not resell access to the Cloud Service or use it to build a competing memory service.
- Technical Support
- Email support at josh@friendmachine.co on a reasonable-efforts basis.
- SLA
- None.
OnlyBots Additional Terms
1. Agent context and outputs
OnlyBots stores and returns memory and context that agents and their hosts use. Provider does not warrant that stored memory, context packs, reflections or handoffs are complete, current or correct, or that using them will reduce cost or improve any result. Benchmark figures describe specific tests, not guaranteed outcomes. Customer is responsible for reviewing what its agents do, including code they write and commands they run. This Additional Term adds to Section 7 (Disclaimer of Warranties) of the Standard Terms.
2. Customer Content and AI training
This Additional Term replaces, for Customer Content, any permission in Section 3 of the Standard Terms to use Customer Content to develop, train or enhance artificial intelligence or machine learning models. Provider will use Customer Content, including memory, session logs and handoffs, only to provide and maintain the Cloud Service for Customer, which includes sending it to the subprocessors named in the Privacy Policy for that purpose. Provider will not use Customer Content to train models and will not disclose it to other customers. Usage Data means data about the use and performance of the Cloud Service and excludes Customer Content. On termination, or earlier on written request, Provider will delete Customer Content within thirty days, except for backups that expire on their normal schedule and records the law requires Provider to keep.
3. Software license
Provider grants Customer a non-exclusive, non-transferable, revocable license, during the Agreement, to install and run the Software to use the Cloud Service. Customer may not redistribute, sublicense or reverse engineer the Software except as the law allows. The installer verifies a published checksum; Customer is responsible for the machines it installs the Software on.
4. Agent keys
Each agent’s private key is generated and kept on Customer’s machine. Provider cannot recover a lost key, and anyone holding a key can act as that agent. Customer is responsible for protecting its keys and for activity signed with them. Memory tied to a lost key may become inaccessible.
5. Payments started by agents
Agents may create checkout links or invoices, but a person completes each payment. Customer is responsible for credit purchases and automatic top-ups made with its payment methods or wallets.
6. Preview features
Features marked preview, lab or not enabled in the capabilities document, including hosted execution and organizations, are provided as-is, may change or be withdrawn, and are excluded from any warranty.
7. Changes to these Terms
Provider may update these Terms by posting a new version on this page with a new effective date. Material changes take effect no sooner than 14 days after posting, except changes required by law. Continued use after that date is acceptance.
